Welcome to Yolper. These Terms of Service ("Terms") govern your access to and use of the Yolper web application, the Yolper Chrome Extension, and any related services (collectively, the "Service") provided by Genius Creations LLC ("Company," "we," "us," or "our").

Please read these Terms carefully. By creating an account, or by accessing or using our Service, you agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you may not access or use our Service.

1. Definitions

"Service" refers to the Yolper web application, the Yolper Chrome Extension, and all related software, features, and services we provide.

"User," "you," and "your" refer to the individual or entity that creates an account and uses the Service.

"Input" refers to the documents, email text, and any other data or content you upload, submit, or otherwise transmit to the Service for processing.

"Output" refers to the text, summaries, suggestions, and other content generated and returned by the Service based on your Input.

"User Content" refers to your Input and Output, collectively.

2. Eligibility and Account Registration

You must be at least 13 years old to use the Service (or the minimum age required in your country to consent to use online services). If you are under 18, you must have permission from a parent or legal guardian to use the Service.

To access the Service, you must register for an account. You agree to provide accurate and complete information during registration and to keep this information up to date. You are responsible for safeguarding your account credentials and for all activities that occur under your account. You may not share your account with anyone else.

3. The Service

a. License Grant

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, non-sublicensable, and revocable license to access and use the Service for your personal or internal business purposes during the term of your subscription.

b. Service Availability

We will use reasonable efforts to ensure the Service is available to you. However, access may be interrupted for scheduled maintenance, emergency repairs, or due to failure of telecommunications links and equipment that are beyond our control.

c. Support

We will provide technical support for the Service. Support requests can be submitted through the channels listed on our website.

4. User Content and AI-Generated Output

a. Ownership of Your Input

You retain all ownership rights, title, and interest in and to your Input. We do not claim any ownership over the documents or content you provide to the Service.

b. License to Us

You grant us a limited, worldwide, non-exclusive, royalty-free license to use, reproduce, modify, and process your Input solely for the purpose of providing, maintaining, and improving the Service for you. This license is necessary for the Service to perform its core functions, such as chunking, vectorizing, and generating responses based on your documents.

c. Ownership of AI Output

As between you and the Company, and to the extent permitted by applicable law, you own the Output generated by the Service from your Input. You are free to use the Output for any lawful purpose, including commercial use, subject to these Terms.

d. Responsibility for Content

You are solely responsible for your User Content. You represent and warrant that you have all necessary rights to provide your Input to the Service and that your User Content does not violate any applicable laws or infringe on any third-party rights. You are also responsible for reviewing and evaluating the accuracy and appropriateness of any Output before using or relying on it.

5. Acceptable Use Policy

You agree not to use the Service for any purpose that is illegal or prohibited by these Terms. You agree not to:

  • Use the Service in any way that violates any applicable local, national, or international law or regulation.
  • Upload or transmit any Input that infringes on any intellectual property, privacy, or other rights of any third party.
  • Attempt to reverse engineer, decompile, disassemble, or discover the source code or underlying components of our Service, including our AI models and systems.
  • Use the Service to develop a competing product or service, including for the purpose of training a machine learning model.
  • Transmit any viruses, worms, malware, or any other code of a destructive nature.
  • Engage in any activity that is fraudulent, abusive, harmful, or that could interfere with, disrupt, or negatively affect the Service or our servers and networks.
  • Use the Service to generate content that is hateful, harassing, violent, or promotes illegal acts.

We reserve the right to suspend or terminate your account immediately if you violate this Acceptable Use Policy.

6. Fees, Payment, and Cancellation

a. Subscription Fees

Access to the Service requires a paid subscription. You agree to pay the subscription fees specified at the time of purchase. All fees are non-refundable, except where required by law.

b. Billing

We will bill your chosen payment method on a recurring basis (e.g., monthly or annually) as selected by you. You authorize us to charge your payment method for all applicable fees.

c. Cancellation

You may cancel your subscription at any time through your account settings. Your cancellation will take effect at the end of the current billing cycle, and you will not be charged for the next cycle. You will retain access to the Service until the end of your paid term.

7. Intellectual Property

Excluding your User Content, the Service and all of its underlying components—including the software, AI models, algorithms, user interface, branding, and Documentation—are the exclusive property of the Company and its licensors. These are protected by copyright, trademark, and other intellectual property laws. You may not use our name, logo, or trademarks without our prior written consent.

8. Disclaimers and Accuracy of AI

a. "AS IS" Service

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE.

b. AI Accuracy Disclaimer

YOU ACKNOWLEDGE AND AGREE THAT THE OUTPUT IS GENERATED BY ARTIFICIAL INTELLIGENCE. AI AND MACHINE LEARNING ARE RAPIDLY EVOLVING FIELDS. GIVEN THE PROBABILISTIC NATURE OF MACHINE LEARNING, USE OF OUR SERVICE MAY IN SOME SITUATIONS RESULT IN INCORRECT, INCOMPLETE, OR OFFENSIVE OUTPUT THAT DOES NOT ACCURATELY REFLECT REAL FACTS.

YOU MUST EVALUATE THE ACCURACY AND APPROPRIATENESS OF ANY OUTPUT FOR YOUR USE CASE, INCLUDING BY USING HUMAN REVIEW. YOU SHOULD NOT RELY ON THE OUTPUT AS A SOLE SOURCE OF TRUTH OR FACTUAL INFORMATION, OR AS A SUBSTITUTE FOR PROFESSIONAL ADVICE.

9. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL THE COMPANY, ITS AFFILIATES, DIRECTORS, OR EMPLOYEES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM (I) YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE SERVICE; (II) ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON THE SERVICE; (III) ANY CONTENT OBTAINED FROM THE SERVICE; AND (IV) UNAUTHORIZED ACCESS, USE, OR ALTERATION OF YOUR TRANSMISSIONS OR CONTENT, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), OR ANY OTHER LEGAL THEORY, WHETHER OR NOT WE HAVE BEEN INFORMED OF THE POSSIBILITY OF SUCH DAMAGE.

IN NO EVENT SHALL THE COMPANY'S AGGREGATE LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICE EXCEED THE GREATER OF ONE HUNDRED U.S. DOLLARS ($100.00) OR THE AMOUNTS YOU PAID TO THE COMPANY FOR THE USE OF THE SERVICE IN THE 12 MONTHS PRIOR TO THE EVENT GIVING RISE TO THE CLAIM.

10. Indemnification

You agree to defend, indemnify, and hold harmless the Company and its affiliates, officers, directors, employees, and agents from and against any and all claims, damages, obligations, losses, liabilities, costs, or debt, and expenses (including but not limited to attorney's fees) arising from your use of and access to the Service, or from your violation of these Terms.

11. Termination

a. Termination by You

You are free to stop using the Service and terminate your account at any time.

b. Termination by Us

We reserve the right to suspend or terminate your access to the Service at our sole discretion, without notice or liability, for any reason, including if you breach these Terms.

c. Effect of Termination

Upon termination, your right to use the Service will immediately cease. Provisions of these Terms that by their nature should survive termination shall survive, including, without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

12. Changes to Terms

We reserve the right to modify these Terms at any time. If we make material changes, we will provide you with notice, such as by sending an email or displaying a notice within the Service. Your continued use of the Service after any such changes constitutes your acceptance of the new Terms.

13. General Provisions

a. Governing Law

These Terms shall be governed by and construed in accordance with the laws of Delaware, United States, without regard to its conflict of law provisions.

b. Severability

If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions of these Terms will remain in full force and effect.

c. Entire Agreement

These Terms and our Privacy Policy constitute the entire agreement between you and the Company regarding our Service and supersede all prior agreements.
